Trusts and Estates

We will help you establish a trust designed to help you achieve the goals you have for you and your family.

For individuals, we implement plans ranging from simple to sophisticated. For clients with family-owned businesses, we assist in the orderly and efficient transition of ownership, control and management from one generation to the next.

Some estate planning clients require sophisticated trusts and transactions to carry out their goals while other clients require relatively straightforward plans. Ken will prepare a plan to effect a smooth and efficient transfer of property from one generation to the next.  He will help you establish a comprehensive estate and succession plan designed to help you achieve the goals which you have for you and your family.

For example, an irrevocable life insurance trust will allow your heirs to receive life insurance proceeds entirely free of federal estate tax. An irrevocable gift trust will remove assets transferred to such trust (including future appreciation) out of your future taxable estate. We help you to understand your trust design options and establish a management process for administering and ultimately distributing trust assets to your heirs. Ken is also able to assist you in analyzing and implementing strategies regarding various aspects of tax, estate, and trust planning and administration.

Business Organizations

Advice and counsel concerning the form of business to use, business/entity dissolutions and restructuring.

We provide advice and counsel regarding the form of business entity for you to utilize in your particular business activities. We can also assist in post-formation internal business agreements to document the economic and management desires and understandings of the entity owners. Among important matters for which we may offer advice are directors’ and officers’ liability protection, along with an analysis of the future potential for reorganization, entering into joint venture, merger or acquisition transactions, and the consideration of business succession and eventual entity dissolution. Whether you are a minority or majority interest owner in a business, we can assist you in addressing your ownership rights. We also serve as local counsel to many out-of-state business entities qualified to conduct business in Nevada.

Business Law

We also provide advice and counsel concerning the operation of your business, selling or purchasing a business, document retention policies, and contracts.

We provide a wide variety of services to our business clients, including assisting in selecting the type of organizational entity through which you should operate, negotiating and preparing business agreements, assisting with business succession, negotiating and drafting appropriate documentation related to the sale and purchase of a business, and/or assisting in the dissolution and orderly wind-down of your business. It is our goal to advise business clients on company formation and management, operational issues, tax matters, mergers and acquisitions, and general business employment and related issues.


Negotiating, drafting, and reviewing numerous forms of contracts, whether commercial or private, covering areas such as real property, business agreements, and employment.

We can assist you in the negotiation, drafting and review of contracts in areas such as real property, business transactions and other commercial relationships. Ken has extensive experience in negotiating, drafting and reviewing contracts involving the sale or lease of business assets or real estate properties, and the preparation and/or review of buy-sell and employment arrangements. We provide tax and transactional assistance in negotiating and preparing letters of intent and the definitive agreements (including employment and non-compete agreements), conducting due diligence investigations and structuring lending agreements.
